AVP, LEGAL COUNSEL
Responsible for assisting the Chief Legal Officer in leading corporate strategic and tactical legal initiatives and serving as legal advisor on company strategies and their implementation. Manages legal agreements and other transactional work at the credit union, including reviewing contracts and other legal documents and working with the business units in negotiating any deals and/or agreements. Provides legal advice to the credit union regarding a variety of matters including regulatory compliance, contracts, litigation, insurance and risk management, intellectual property, governance, consumer and commercial lending and deposit transactions and loan documentation, mergers and acquisitions, real estate, and general corporate matters.

QUALIFICATIONS:
Minimum Education & Experience Requirements:
• Law degree with admission to the state bar
• 5 years legal experience in a law firm or as corporate attorney
o Experience with mergers and acquisitions, corporate finance, corporate governance and other corporate matters
o Experience with contract law, drafting and negotiations

Additional Preferred Education & Experience:
• Experience with bankruptcy and collections regulation and practices, including the preparation of required filings and other documentation and general representation in connection with bankruptcy lifts of stay, trustee sales, vehicle seizures and related matters

WORKING CONDITIONS/ENVIRONMENT:

MAJOR ACCOUNTABILITIES AND TASKS:
1. Develops a thorough understanding of the financial services environment; assists the Chief Legal Officer in developing and implementing specific strategies and objectives to establish high legal standards throughout the credit union.

2. Structures, drafts and negotiates agreements with third party vendors, including service and procurement contracts, technology and licensing agreements, and consulting and nondisclosure agreements.

3. Prepares, reviews and negotiates contracts, proposals, and agreements on behalf of the company for various corporate initiatives unrelated to outside vendors.

4. Provides legal support to compliance team in connection with the interpretation and implementation of regulatory or legislative mandates, as well as research and analysis of legal and/or regulatory compliance inquiries and issues generated by management or staff; assists compliance team in internal training on various regulatory and compliance matters.

5. Maintains currency in legal issues affecting the credit union; provides legal analyses and summaries of relevant rulemaking in a timely manner. Conducts legal research and prepares memoranda, correspondence or other materials summarizing and applying research and analysis to credit union issues.

6. Participates in various committees and provides guidance and expert advice to the Board of Directors, Supervisory Committee, senior management, and credit union personnel on current and emerging legal topics, including trends and issues.

7. Advises management on collection cases, member bankruptcy filing and occasional special transactional or corporate projects.

8. Advises management on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities, including credit union service organizations.

9. Assists in overseeing and managing long-term and/or legal projects with significant financial or other business impacts.

10. Participates in the definition, development and implementation of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.

11. Provides general legal support and consulting to business units; seeks opportunities for developing, coordinating and/or conducting “brown bag” legal training on contract law basics and other topics as requested by business units.

12. As directed, obtains and works with selected outside legal counsel to assist in their provision of legal advice, guidance and analysis to management for issues relating to prior, current and future conduct, transactions, contracts, business plans and documentation to insure the protection of the business interests of the credit union and the protection of the legal rights of the credit union, the Board of Directors, the Supervisory Committee and personnel.

13. Acts as a liaison or contact agent to respond to inquiries from regulatory agencies, members and business community.

14. Performs other duties as assigned.

The Programmer/Analyst has advanced proficiency in programming, database knowledge and concepts. They can create interface screens to collect data or populate a form, test the input for accuracy, and update the core system. POSITION SUMMARY:
Develops and manages the annual operating budget for sports club, to include monthly forecasting and variance reporting. Maintains budgeted expense-to-revenue and labor-to-revenue ratios for sports department. Interviews, hires, trains, reviews, coaches and supervises sports staff and front desk staff. Develops and implements programming for members and guests and ensures service initiatives are met and customer base is retained. Ensures all facility areas and equipment are in excellent condition, maintained and working properly. Coordinates with Maintenance and Housekeeping Departments on repair work, painting, laundry and cleaning.
Schedules staff in supervisor’s absence. Responds to guests’ and members’ complaints regarding service ensuring the customers are satisfied as well as reviewing and addressing Unifocus issues ensuring sports club meets Club standards.
Creates and managers the approved departmental budget for equipment purchases and inventory pars. Provides leadership and direction to sports, tennis, and pool staff. Provides fitness instruction to members and guests when required. Performs other duties as assigned and special sports and golf club events.

QUALIFICATIONS:
A minimum of three (3) year’s related experience in an sports club health facility; preferably in a healthcare environment. Must be knowledgeable in a variety of sports. Must possess general mechanical abilities to troubleshoot and oversee basic repair. Must be very familiar with pool operation with emphasis on basic water chemistry and an understanding of disinfecting systems. Ability to lift, push, pull or carry up to 40 pounds, must be able to withstand a range of outside weather conditions (heat/cold, rain, etc.), able to withstand prolonged exposure to sunlight for up to 8 hour shift. Possess excellent verbal and written communication skills. Ability to work without supervision and make decisions that impact the organization financially. Must have professional presentation as an ambassador of the company serving as a property leader. Must possess a general knowledge of fitness training, tennis, pool maintenance and pickleball maintenance
Ability to ensure work responsibilities are covered when absent. Ability to approach others in a tactful manner and reacts well under pressure. Possesses knowledge of occupational hazards, safety precautions and safety regulations related to recreational activities and other work related precautions. Possess considerable knowledge of principles and processes for providing excellent customer service. Must have the ability to enforce operating policies and procedures in an effective and courteous manner.
Ability to communicate complex directions and information effectively so others will understand. Ability to listen and understand questions and ideas presented verbally and in writing. Bachelors’ degree in sports or business related field, required. Must have previous managerial experience and a minimum of three years’ experience in recreation type facility
Must possess AFO and CPO certification. Ability to work days, nights, weekends, holidays, and have reliable transportation to and from work during the weekdays and weekends.
