What is legal due diligence, and why is it so important to the sale process?

Initially, it is an information gathering exercise across various elements of the target business, seeking comfort for the buyer as to what it is buying and also identifying any potential risks from a legal perspective.

The findings from the legal due diligence process will drive the detail of the warranties that the sellers are required to give to the buyer in respect of the target business in the main sale and purchase agreement.

It is a crucial step in the transaction process and, together with disclosure, will typically be the area that incurs the most time from a legal process.

🚴 Why 200km?

Our upcoming cycling challenge for Kidney Research UK has a very special connection to the work our kidneys do every day.

Our kidneys filter around 200 litres of blood every day, so on Thursday 8 October, more than 20 members of the Moorcrofts team will work together to cycle 200km on an exercise bike in our office.

Each team member will complete a section of the challenge as we work towards our shared goal, all in support of Kidney Research UK and research into IgA nephropathy.

It’s going to be a big day, but we’re looking forward to taking it on together! 💪

Our corporate team has advised the shareholders of Hamble Yacht Services on the successful sale of the business to Premier Marinas.

Based on the River Hamble, Hamble Yacht Services has built a strong reputation as a leading marine facility, serving a loyal community of customers, berth holders and marine-related businesses. The acquisition marks the next chapter for the business, with Premier Marinas confirming that operations will continue as normal while building on Hamble Yacht Services’ established strengths.

Teri Hunter, Corporate Partner at Moorcrofts, led the advisory team, with support from Kate Prentis - Corporate Partner, Georgia Knibb (Senior Associate).

On Thursday 8 October 2026, the Moorcrofts LLP team will be swapping suits for cycling gear as we take on a 200km cycling challenge in support of our Charity of the Year, Kidney Research UK, with a particular focus on IgA nephropathy.

Inspired by the fact that our kidneys filter around 200 litres of blood every day, more than 20 members of the Moorcrofts LLP team will take to an exercise bike in our office throughout the day, each completing a section of the challenge as we work together to match those 200 litres and cover the full 200km.

Why Kidney Research UK?

The daughter of one of our colleagues was diagnosed last year with IgA nephropathy and is currently receiving treatment and dialysis. Later this year, subject to successful tests, her mother hopes to donate a kidney to her daughter.

It is a deeply personal journey for the family and one that has brought the impact of kidney disease very close to home for all of us at Moorcrofts LLP.

We’re looking forward to taking on the challenge together, although we suspect there may be a few tired legs by the end of the day!
