Job Title: Corporate Governance Consultant — Senior (Governance, Risk & Compliance)

Reports to: CEO / Board of Directors
Role Summary:
A leading organization in Saudi Arabia is seeking an experienced Senior Corporate Governance Consultant to develop and implement governance, risk management, and compliance frameworks across the organization.
The ideal candidate will:
- Lead the design of policies and governance structures.
- Provide strategic advice to senior leadership and the Board.
- Ensure compliance with national governance regulations and international best practices.
- Foster a culture of transparency and accountability across all departments.
Key Responsibilities:
• Develop and implement a corporate governance framework in alignment with Capital Market Authority (CMA) requirements and international standards (OECD, COSO, IFRS, SOX).
• Lead the design and ex*****on of the Enterprise Risk Management (ERM) framework and embed a strong risk management culture across all business units.
• Chair the Audit, Review, and Risk Committees, and oversee their performance to ensure compliance, transparency, and accountability.
• Develop and enforce policies on integrity, disclosure, and conflict-of-interest prevention, while promoting a culture of ethical conduct and compliance throughout the company.
• Supervise the internal audit function, ensuring its independence and alignment with the standards of the Institute of Internal Auditors (IIA).
• Prepare and present periodic reports to the Board of Directors, providing comprehensive analysis of financial performance, risks, and compliance status.
• Lead organizational transformation and restructuring programs to enhance operational efficiency and achieve strategic objectives.
• Provide executive advisory support to the CEO and subsidiary boards on regulatory and strategic matters.
• Build and maintain strategies to implement global best practices in corporate governance.
• Monitor regulatory and legislative changes within Saudi Arabia and update internal policies to ensure full compliance with the latest requirements.
• Represent the company before government, regulatory, and financial authorities, both locally and internationally. Qualifications
• Minimum of 15 years of relevant experience in governance, risk management, or compliance.
• Proven experience in developing and implementing governance frameworks within large organizations or family businesses.
• In-depth knowledge of relevant Saudi regulations (CMA, Ministry of Commerce).
• Strong communication and stakeholder management skills, with the ability to engage senior leadership and regulatory bodies.
• Fluency in Arabic and English (spoken and written).
